This is a correction of errors in the IMPACT COATINGS AB (PUBL), INTERIM REPORT JULY-SEPTEMBER 2018, which was released on October 26, 2018.

In the Balance sheet (page 7), Paid pre-payments from customers as of September 30, 2018 should be SEK 22 277 thousand, and Invoiced but not paid pre-payments from customers as of September 30, 2018 should be SEK 3 650 thousand. The sum of Paid and Invoiced but not paid pre-payments from customers is unchanged following these corrections.

In the table Summary of financial development (page 9), Pre-payment from customers for the period January-September 2018 should be SEK 25 927 thousand, and Short term liabilities for the period January-September 2018 should be SEK 8 047 thousand.

The corrected interim report for July-September is included as an appendix to this press release.

The preliminary findings of an independent investigation into expenses reimbursed to co-founder and former CEO Henrik Ljungcrantz were disclosed via press release on July 24, 2018. The final report from PwC has now confirmed these preliminary findings.

The board of directors, in line with what was stated in the July 24 press release, has submitted the investigation report to the Swedish Economic Crime Authority for further processing, and will seek to recover the reimbursed expenses identified by the investigation as incorrectly paid out plus costs for the investigation itself.

Medgrundaren och tidigare VD:n Henrik Ljungcrantz har idag avskedats med omedelbar verkan och utan ytterligare avgångsvederlag. Enligt pressmeddelande den 27:e maj 2018 ersattes Henrik Ljungcrantz av kommersiella skäl som VD. En pågående redovisningsutredning av PWC, på uppdrag av styrelsen, indikerar att Henrik Ljungcrantz brutit mot regler för återbetalning av utgifter under flera år. Styrelsen kommer att lämna över den slutliga utredningsrapporten, som förväntas under september 2018, till Ekobrottsmyndigheten samt kommer att kalla till extra bolagsstämma för att ersätta bolagets revisor.

En obereoende redovisningsutredning av perioden januari 2016-juni 2018, som PWC genomför på uppdrag av Impact Coatings styrelse, har preliminärt kunnat konstatera att en väsentlig andel av återbetalningskraven för reserelaterade kostnader och personliga utlägg av tidigare VD Henrik Ljungcrantz är verksamhetsfrämmande och/eller saknar nödvändig stöddokumentation.

En analys av en separat och oberoende firma har funnit liknande felaktig hantering av utgifter under 2012-2015. Perioder före 2012 har inte beaktats. Henrik Ljungcrantz var VD för Impact Coatings under perioden 2002-2014, och igen under perioden maj 2017-maj 2018.

I avvaktan på ytterligare utredning samt baserad på preliminära uppgifter, är det rimligt att förvänta att ca 1-3 miljoner kronor i felaktiga kostnadsersättningar bekräftas för perioden 2012-2018, plus ca 1 miljon kronor i utredningskostnader, vilket sammantaget bolaget har för avsikt att återhämta.

Styrelsen har, efter att ha träffat Henrik Ljungcrantz idag, beslutat att avskeda honom med omedelbar verkan. Han kommer efter idag ej att ta emot ytterligare avgångsvederlag som beskrivs i bolagets pressmeddelande daterat 27:e maj 2018.

Styrelsen kommer att lämna över till Ekobrottsmyndigheten den slutliga rapporten från utredningen inklusive stöddokumentation.

Under de närmaste veckorna kommer styrelsen att kalla aktieägare till en extra bolagsstämma vars syfte blir att ersätta bolagets revisor.

Bolaget kommer att lämna in till Skatteverket rättelser av mervärdesskatt och bolagets utgifter för berörda tidsperioder. Relevanta justeringar av resultaträkning och balansräkning kommuniceras i samband med kvartalsrapporten för tredje kvartalet 2018 eller så snart som anses praktiskt.

Co-founder and former CEO Henrik Ljungcrantz’s employment with Impact Coatings has been terminated today with immediate effect and without further severance payments. As announced on 27 May 2018, Henrik Ljungcrantz was replaced as CEO for commercial reasons. An ongoing accounting investigation by PWC, at the request of the board of directors, indicates that Henrik Ljungcrantz violated regulations related to expense reimbursement over several years. The board will submit the final investigation report, expected during September 2018, to the Swedish Economic Crime Authority and will call an extraordinary general meeting of shareholders to replace the company’s auditor.

An independent accounting investigation of the period January 2016-June 2018, conducted by PWC at the request of the Impact Coatings board of directors, has reached the preliminary conclusion that a substantial portion of travel-related and out-of-pocket expense reimbursement claims by former CEO Henrik Ljungcrantz are not business-related and/or lack required supporting documentation.

An analysis by a separate and independent firm has found similar improper handling of expenses during 2012-2015. Periods prior to 2012 have not been considered. Henrik Ljungcrantz was CEO of Impact Coatings during the period 2002-2014, and again during the period May 2017-May 2018.

Pending further investigation and based on preliminary data, it is reasonable to expect approximately SEK 1-3 million in improper expense reimbursements to be confirmed for the period 2012-2018, plus approximately SEK 1 million in costs for the investigation itself, all of which the company will seek to recover.

The board of directors has, after meeting with Henrik Ljungcrantz today, resolved to terminate his employment with immediate effect. He will after today not receive further severance payments described in the company’s 27 May 2018 announcement.

The board of directors will submit the final investigation report with supporting documentation to the Swedish Economic Crime Authority.

The board of directors will during the coming weeks call shareholders to an extraordinary general meeting whose purpose will be the replacement of the company auditor.

The company will file corrective documentation with the Swedish Tax Agency to adjust value added tax (VAT) amounts and corporate expenses for the relevant time periods. Relevant income statement and balance sheet adjustments will be communicated in conjunction with Q3 2018 financial reporting or as soon as is practical.

I enlighet med tidigare kommunikation har Impact Coatings levererat en beläggningsmaskin av typen INLINECOATER™M till kinesiska Xin Point. Transporten skedde med flyg och maskinen har levererats till kunden i Guangdong-provinsen i södra Kina. Beläggningsmaskinen, som tidigare benämndes InlineCoater™ 500, beställdes av Xin Point i oktober 2017 och ska användas för dekorativa plastdetaljer till fordonsindustrin. Kunden har genomfört betalning vid leverans i enlighet med avtalet. Slutacceptans och slutbetalning sker efter genomförd installation.
