The Extraordinary General Meeting on October 18, 2024 in Impact Coatings AB (publ) (“the Company”) resolved to implement two warrant-based incentive programs, one for key persons (2024/2027:1) and one for a board member (2024/2027:2), in total a maximum of 750,000 warrants.

Each warrant entitles the holder to subscribe for one new share in the Company at a subscription price corresponding to 150 per cent of the volume-weighted average price paid for the Company’s share on Nasdaq First North Growth Market during the period from October 21, 2024 up to and including November 1, 2024. The subscription price has thereby been set at SEK 6.52 per share. The warrants may be exercised for subscription of shares during the period from November 1, 2027 up to and including December 10, 2027.

Prior to subscription, the final warrant premium has been determined based on the Black-Scholes warrant valuation model at SEK 0.63 per warrant for both programs. The calculation has been carried out by the independent valuation institute People & Corporate Performance AB. In total, 703,898 warrants have been subscribed in the two programs, meaning that the programs have been subscribed to 93.9 percent.

Vid extra bolagsstämma den 18 oktober 2024 i Impact Coatings AB (publ) (“Bolaget”) beslutades att anta två teckningsoptionsbaserade incitamentsprogram, ett för nyckelpersoner (2024/2027:1) och ett för en styrelseledamot (2024/2027:2), totalt om högst 750 000 teckningsoptioner.

Varje teckningsoption berättigar till teckning av en ny aktie i Bolaget till en teckningskurs som motsvarar 150 procent av den volymvägda genomsnittliga betalkursen för Bolagets aktie på Nasdaq First North Growth Market under perioden fr.o.m. den 21 oktober 2024 t.o.m. den 1 november 2024. Teckningskursen har därigenom fastställts till 6,52 kr per aktie. Teckningsoptionerna får utnyttjas för teckning av aktier under perioden fr.o.m. den 1 november 2027 t.o.m. den 10 december 2027.

Inför teckning har slutlig optionspremie fastställts baserat på Black-Scholes optionsvärderingsmodell till 0,63 kr per option för de båda programmen. Beräkningen har utförts av det oberoende värderingsinstitutet People & Corporate Performance AB. Sammanlagt har det tecknats 703 898 teckningsoptioner i de två programmen, innebärande att programmen har tecknats till 93,9 procent.

Boyuan’s order for the INLINECOATER™ IC2000 was a follow-up order, with the first coating system delivered to Boyuan by Impact Coatings in 2022. On June 22, 2024, the companies also signed a Letter of Intent, appointing Impact Coatings as a strategic supplier of PVD coatings equipment for the production of bipolar and monopolar fuel cell plates.

Boyuan is a majority-owned subsidiary of GEB – Shandong Golden Empire Precision Machinery Technology Co., Ltd., a supplier of ball bearing fittings and other components for automotive and other industries.

Beställningen från Boyuan av en INLINECOATER™ IC2000 var en uppföljningsorder, där det första beläggningssystemet till Boyuan från Impact Coatings levererades under 2022. Impact Coatings launched the PVD system INLINECOATER™ IC2000 in autumn 2022 with the aim of handling the coating of electrolysis plates and high-volume coating of fuel cell plates, both critical system components for the growing global hydrogen industry. During 2024, Impact Coatings have begun producing the coating system in line with market forecasts as a means of shortening delivery lead time. The goal is to be able to receive and deliver an order within the same quarter.
 
Since the launch of the INLINECOATER™ IC2000, Impact Coatings has continuously developed the offering. Being able to offer customers a combination of IC2000 systems and coatings, such as Premium FC and Ceramic MAXPHASE, has been a success factor in customer development, not least in the rapidly developing Chinese fuel cell market.
 
At the end of December 2023, the first INLINECOATER™ IC2000 was delivered to SEKSUN, a manufacturer of precision metal parts for the automotive industry. The order was received and announced via press release on June 7, 2023. In May of this year, it was also announced that Impact Coatings had received an order for an additional IC2000 from the same customer, which has shipped today.
 
In addition to the systems for SEKSUN, Impact Coatings has signed agreements with several new players in China during 2024. In April, an agreement was announced regarding volume production within Coating Services to a Chinese fuel cell manufacturer, a production that has started at the company’s Coating Service Center in Shanghai.
 
A Letter of Intent has recently also been signed with Boyuan, another Chinese manufacturer of fuel cell plates and which received a first coating system from Impact Coatings in 2022. In the Letter of Intent, Boyuan has named Impact Coatings as a strategic supplier of PVD equipment for fuel cell plates to their production facilities, as announced in a press release earlier in June this year
 
Impact Coatings is currently in a period of intensified focus on sales and increased presence in key geographic markets, an effort that has strengthened existing relationships and contributes to a growing sales pipeline.

PVD-systemet INLINECOATER™ IC2000 lanserades av bolaget hösten 2022 i syfte att kunna hantera både beläggning av elektrolysplattor och högvolymbeläggning av bränslecellsplattor, kritiska systemkomponenter för en globalt växande vätgasindustri. Beläggningssystemet har under 2024 börjat produceras mot marknadsprognoser i linje med bolagets tydliga strategi mot kortare leveranstider. Målsättningen framöver är att både kunna ta emot en beställning och leverera inom samma kvartal.
 
Sedan lanseringen av beläggningssystemet har Impact Coatings kontinuerligt utvecklat sitt erbjudande. Att kunna erbjuda kunder en kombination av IC2000-system och beläggningar som Premium FC och Ceramic MAXPHASE har varit en framgångsfaktor i kundbearbetningen, inte minst på den kinesiska bränslecellsmarknaden som är under snabb utveckling.
 
I slutet av december 2023 levererades en första INLINECOATER™ IC2000 till SEKSUN, en tillverkare av precisionsdetaljer av metall till fordonsindustrin. Beställningen togs emot och offentliggjordes via pressmeddelande den 7 juni 2023. I maj tidigare i år offentliggjordes även att Impact Coatings mottagit en beställning av ytterligare en IC2000 av samma kund, vilken har levererats ut idag.
 
Utöver systemen till SEKSUN har Impact Coatings under 2024 tecknat avtal med flera nya aktörer i Kina. I april offentliggjordes ett avtal avseende volymproduktion inom Coating Services till en kinesisk bränslecellstillverkare, en produktion som har startat på bolagets Coating Service Center i Shanghai.
 
En avsiktsförklaring har nyligen även tecknats med Boyuan, även det en kinesisk tillverkare av bränslecellsplattor och som mottog ett första beläggningssystem från Impact Coatings 2022. Boyuan har i avsiktsförklaringen utsett Impact Coatings till strategisk leverantör av PVD-utrustning för bränslecellsplattor till sina produktionsanläggningar, vilket offentliggjordes i pressmeddelande tidigare i juni i år.
 
Impact Coatings befinner sig i en period med intensifierat fokus på försäljning och ökad närvaro på viktiga geografiska marknader, ett arbete som stärkt befintliga relationer och bidrar till en växande försäljningspipeline.
