Impact Coatings AB (Linköping, Sverige) och en europeisk tillverkare av PEM-elektrolysörer har idag tecknat ett treårigt leveransavtal där Impact Coatings kommer att tillhandahålla beläggningstjänster för s k separator plates och porous transport layer (PTL) plates för PEM-elektrolysörer. Arbete med kundprover som ledde fram till leveransavtalet startade under 2024.

Leveranser som baseras på avtalet kommer att påbörjas under sommaren 2025. Det är startskottet för ett industrisamarbete med mål att stödja en uppskalning i tillverkningen av elektrolysörer. Impact Coatings Coating Service Center i Linköping kommer att stå för beläggningsproduktionen och volymer och intäkter förväntas att växa i takt med kundens planerade upptrappning av produktionen.

Impact Coatings och europeisk tillverkare av PEM-elektrolysörer tecknar leveransavtal om beläggningstjänster

Impact Coatings AB (Linköping, Sweden) and a European supplier of PEM electrolyzers have signed a three-year supply agreement today, under which Impact Coatings will provide coating services for separator plates and porous transport layer (PTL) plates used in PEM electrolyzers. Sampling efforts leading up to the supply agreement started during 2024.

Deliveries under the agreement will begin in summer 2025, initiating an industrial collaboration to support the scale-up of electrolyzer production. Impact Coatings’ Coating Service Center in Linköping will be responsible for the coating production and volumes and revenues are expected to grow over time in line with the customer’s planned manufacturing ramp-up.
 
“There is significant interest from the hydrogen sector globally in Impact Coatings’ solutions for PEM electrolyzers. Vid årsstämman den 21 maj 2025 i Impact Coatings AB (publ) (“Bolaget”) beslutades att anta ett teckningsoptionsbaserat incitamentsprogram för nyckelpersoner (2025/2028:1) om högst 300 000 teckningsoptioner.

Varje teckningsoption berättigar till teckning av en ny aktie i Bolaget till en teckningskurs som motsvarar 150 procent av den volymvägda genomsnittliga betalkursen för Bolagets aktie på Nasdaq First North Growth Market under perioden fr.o.m. den 22 maj 2025 t.o.m. den 5 juni 2025. Teckningskursen har därigenom fastställts till 4,77 kr per aktie. Teckningsoptionerna får utnyttjas för teckning av aktier under perioden fr.o.m. den 15 juni 2028 t.o.m. den 31 augusti 2028.

Inför teckning har slutlig optionspremie fastställts baserat på Black-Scholes optionsvärderingsmodell till 0,43 kr per option. Beräkningen har utförts av det oberoende värderingsinstitutet People & Corporate Performance AB. Sammanlagt har det tecknats 254 000 teckningsoptioner, innebärande att programmet har tecknats till 84,7 procent. Styrelsens beslut avseende tilldelning av teckningsoptioner skedde den 12 juni.

Impact Coatings AB (publ) meddelar utfall av teckning i optionsbaserat incitamentsprogram för nyckelpersoner (2025/2028:1)

The Annual General Meeting on May 21, 2025 in Impact Coatings AB (publ) (“the Company”) resolved to implement a warrant-based incentive program for key persons (2025/2028:1) at a maximum of 300,000 warrants.

Each warrant entitles the holder to subscribe for one new share in the Company at a subscription price corresponding to 150 per cent of the volume-weighted average price paid for the Company’s share on Nasdaq First North Growth Market during the period from May 22, 2025 up to and including June 5, 2025. The subscription price has thereby been set at SEK 4.77 per share. The warrants may be exercised for subscription of shares during the period from June 15, 2028 up to and including August 31, 2028.

Prior to subscription, the final warrant premium has been determined based on the Black-Scholes warrant valuation model at SEK 0.43 per warrant. The calculation has been carried out by the independent valuation institute People & Corporate Performance AB. A total of 254,000 warrants have been subscribed, meaning that the program has been subscribed to 84.7 percent. The Board’s decision regarding the allocation of warrants was made on June 12.
